1. Eligibility

You must be at least 13 years old to use the Service. If you are under the age of majority in your jurisdiction, you confirm you have parental or guardian consent. By using the Service you represent and warrant that you meet these eligibility requirements.

2. Accounts

• You must provide accurate information when registering and keep it up to date.
• You are responsible for all activity that occurs under your account and for keeping your credentials secure.
• You must notify us immediately at support@winthrope.com if you suspect unauthorised access to your account.
• You may not share, sell, or transfer your account to another person.
• We reserve the right to suspend or terminate accounts that violate these Terms.

3. Credits

The Service operates on a credit system. Credits are required to run AI generation jobs:

• Credits purchased as one-time packs never expire.
• Credits included in monthly subscriptions roll over for up to two billing cycles.
• Credits are non-transferable and have no cash value.
• Credits are deducted per generation attempt. If a generation fails due to a platform error, the credits are automatically refunded to your balance.
• Credits spent on successful generations are non-refundable (see Refund Policy for unused pack refunds).

We reserve the right to adjust credit pricing, costs per generation, and pack compositions at any time. Any changes take effect from the date of notice and do not retroactively affect credits already purchased.

4. Acceptable Use

You agree not to use the Service to:

• Generate content that is illegal, defamatory, harassing, or that violates any person's rights
• Generate, distribute, or store child sexual abuse material (CSAM) — this is strictly prohibited and will be reported to authorities
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Circumvent, disable, or otherwise interfere with security features of the Service
• Scrape, crawl, or systematically download content from the Service without prior written permission
• Use the Service to build a competing product or service
• Resell, sublicense, or otherwise exploit the Service for commercial purposes beyond what is expressly permitted by your plan
• Violate any applicable law or regulation

We reserve the right to investigate and, where warranted, to suspend or terminate accounts and report illegal activity to relevant authorities.

5. AI-Generated Content & Intellectual Property

Your inputs

You retain ownership of any text prompts, images, or other content you upload to the Service. By submitting inputs, you grant Winthrope a limited, worldwide licence to process them solely to provide the Service to you.

AI outputs

Subject to your compliance with these Terms, Winthrope assigns to you all right, title, and interest in AI-generated outputs (images, videos, posters, characters) produced by your prompts on the Service. This assignment does not extend to any underlying model weights, embeddings, or third-party IP that may be reflected in outputs.

Commercial use

Commercial use of AI-generated outputs is permitted only on the Studio plan. Users on Starter and Creator plans may use outputs for personal and non-commercial purposes only, unless explicitly upgraded.

No copyright guarantee

AI-generated outputs may resemble existing copyrighted works. We make no representation that outputs are free of third-party intellectual property rights. You are responsible for ensuring your use of outputs complies with applicable law.

6. Winthrope's Intellectual Property

The Winthrope name, logo, platform design, software, and all associated IP remain the exclusive property of Winthrope. Nothing in these Terms grants you a right to use our trademarks, trade names, or branding without our prior written consent. Feedback, suggestions, or ideas you share with us may be used by Winthrope without obligation to you.

7. AI Model Providers & Upstream Terms

How model access works

Winthrope connects to multiple third-party AI model providers (such as fal.ai, Anthropic, and others added over time) using our own API credentials. When you run a generation, your prompt and any reference images you upload are transmitted to the relevant provider's infrastructure to produce an output. You are not required to hold or manage any provider API keys.

Upstream acceptable-use policies

Each AI provider imposes its own content and acceptable-use policies on all requests that pass through its API — including requests routed through Winthrope. By using the Service, you agree to comply with the usage policies of all AI providers whose models you access through us. Attempting to circumvent provider-level safety filters (e.g. through prompt injection, jailbreaks, or adversarial inputs) is a violation of these Terms and may result in immediate account suspension.

Model availability

The availability of specific AI models depends on third-party provider uptime, rate limits, and commercial decisions outside our control. We do not guarantee that any particular model will remain available indefinitely. We may add, remove, or replace models at any time. If a model you rely on is removed, we will endeavour to provide reasonable notice.

Payment processor

Payments are handled by Paddle as Merchant of Record. Your use of the checkout flow is subject to Paddle's own terms of service and privacy policy. Winthrope is not responsible for the acts or omissions of any third-party provider.

8. Disclaimers

The Service is provided "as is" and "as available" without warranty of any kind. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including but not limited to:

• Merchantability, fitness for a particular purpose, or non-infringement
• That the Service will be uninterrupted, error-free, or free of viruses
• That AI-generated outputs will be accurate, suitable, or free from offensive content

9. Limitation of Liability

To the fullest extent permitted by applicable law, Winthrope and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill arising out of or in connection with your use of the Service. In no event shall our total liability exceed the amount you paid us in the 30 days preceding the event giving rise to the claim.

Some jurisdictions do not allow limitations on implied warranties or exclusion of certain damages. If those laws apply to you, some of the above limitations may not apply.

10. Indemnification

You agree to indemnify, defend, and hold harmless Winthrope and its operators from and against any claims, liabilities, damages, judgements, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

You may close your account at any time by contacting us. We may suspend or terminate your access to the Service at any time, with or without notice, if we determine you have violated these Terms or if continuing the Service becomes untenable for any operational or legal reason. Upon termination, your right to use the Service ceases immediately. Unused credits are non-refundable upon termination for cause.

12. Changes to These Terms

We may revise these Terms from time to time. The updated date at the top of this page reflects the most recent revision. For material changes, we will notify you by email or a prominent notice within the Service at least 14 days before the change takes effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of Sri Lanka, without regard to its conflict of law principles. If you are a consumer in the UK or EU, you additionally benefit from any mandatory consumer protection provisions applicable in your country of residence.
